Terms of Use

Introduction

Please read these Terms of Service (“Terms”, “Terms of Use”, “Terms of Service”) carefully before using the GoProof website and application (the “Service”, “Application”) operated by Oppolis Software Ltd (“us”, “we”, or “our”). For the remainder of this document the legal entity Oppolis Software Ltd will be referred to as GoProof.


Acceptance of terms

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms.If you disagree with any part of the terms then you may not access the Service.

Licence

GoProof grants you a revocable, non-exclusive, non-transferable, limited licence to use the hosted online application and/or download, install and use the application strictly in accordance with the terms of this Agreement.

Payment and plan changes and taxes

For paid Services that offer a free trial, we explain the length of trial when you sign up. After the trial period, you need to pay in advance to keep using the Service. If you do not pay, we will freeze your account and it will be inaccessible until you make payment. If your account has been frozen for a while, we will queue it up for auto-cancellation. 

If you are upgrading from a free trial plan to a paid plan, we will charge your card immediately and your billing cycle starts on the day of upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.

Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness. By posting Content to the Service, you grant us the right and licence to use, display and distribute such Content on and through the Service, within your account. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You represent and warrant that:

(i) the Content is yours (you own it) or you have the right to use it and grant us the rights and licence as provided in these Terms, and

(ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Review of content for legal compliance

Legal compliance and data review

To maintain the integrity of our service and ensure compliance with legal obligations, GoProof reserves the right to review content stored on our platform in specific and limited circumstances. Such circumstances include, but are not limited to, compliance with legal obligations, court orders, or law enforcement requests as required by applicable law.

Automated scanning

GoProof employs automated systems that are designed to detect illegal content such as copyrighted material, images of child exploitation, or other content that violates our terms of service or the law. These systems help us minimise the need for direct content review and ensure faster response to compliance issues.

User-generated flags

Users of our platform can flag content they deem inappropriate or illegal. Flags are reviewed by authorised personnel to determine the appropriate course of action in accordance with our legal responsibilities and this privacy policy.

Privacy requests

If your company holds particularly sensitive data and seeks additional assurance about the privacy of your content, we invite you to contact us at support@oppolis.com. We can discuss arrangements that align with our legal obligations while addressing your privacy concerns. Please note, however, that while we aim to accommodate reasonable requests for privacy, we cannot exempt any user from legal requirements that mandate the review of content under specific circumstances.

Transparency and notification

When possible and legally permissible, GoProof will notify users if their content is being accessed for legal compliance purposes, unless such notification would obstruct the legal process or endanger public safety.

Your responsibilities

By using our platform, you agree to comply with all applicable laws and regulations and to not upload illegal content onto the platform. It is your responsibility to ensure that your content complies with all legal standards and our terms of service.

Account security

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on the Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene. You expressly agree that we cannot be held liable for any loss or damage arising out of any misrepresentations you make in this regard.

We reserve the right to expire inactive accounts.  An "inactive account" is defined as an account that has not been logged into or used to access GoProof for a continuous period of 3 month. Users will be notified in advance via the email associated with their account before any action is taken. GoProof is not responsible for any loss of data or information resulting from the deactivation or removal of an inactive account.


Restrictions

You agree not to, and you will not permit others to:

a) licence, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application.

b) copy or use the Application for any purpose other than as permitted under the above section ‘licence’.

c) modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Application.

d) remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of GoProof or its affiliates, partners, suppliers or the licensors of the Application.

Intellectual property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of GoProof and its licensors. 

The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. 

Our trademarks and trade address may not be used in connection with any product or service without the prior written consent of GoProof.

When you upload content, you give to GoProof a worldwide, non-exclusive, royalty-free, transferable licence (with right to sub-licence) to use, distribute and display that Content in connection with the provision of the Service and otherwise in connection with the provision of the Service and GoProof business.


Links to other websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by GoProof.

GoProof has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. 

You further acknowledge and agree that GoProof shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.


Uptime, security, and privacy

Your use of the Services is at your sole risk. We provide these Services on an “as is” and “as available” basis. We do not offer service-level agreements for most of our Services, with the exception of Enterprise customers — but we do take uptime of our applications seriously.

We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. Of course, we’ll reach out to the account owner before taking any action except in rare cases where the level of use may negatively impact the performance of the Service for other customers.

We take many measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public Internet. 

You agree that GoProof may process your data as described in our Privacy Policy and for no other purpose. We as humans can access your data for the following reasons:

To help you with support requests you make. We’ll ask for express consent before accessing your account.

On the rare occasions when an error occurs that stops an automated process partway through. We get automated alerts when such errors occur. When we can fix the issue and restart automated processing without looking at any personal data, we do. 

In rare cases, we have to look at a minimum amount of personal data to fix the issue. In these rare cases, we aim to fix the root cause as much as possible to avoid the errors from reoccurring. To safeguard GoProof, we’ll look at logs and metadata as part of our work to ensure the security of your data and the Services as a whole. If necessary, we may also access accounts as part of an abuse report investigation.

We use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services.

Your suggestions

Any feedback, comments, ideas, improvements or suggestions (collectively, “Suggestions”) provided by you to GoProof with respect to the Application shall remain the sole and exclusive property of GoProof.

GoProof shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or any compensation to you.

Modifications to application

GoProof reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

Modifications to the service and prices

We make a promise to our customers to support our Services. That means when it comes to security, privacy, and customer support, we will continue to maintain any legacy Services. Sometimes it becomes technically impossible to continue a feature or we redesign a part of our Services because we think it could be better or we decide to close new signups of a product. We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our Services with or without notice. Sometimes we change the pricing structure for our products. If we do so, we will give at least 30 days notice and will notify you via the email address on record. We may also post a notice about changes on our websites or the affected Services themselves.


Updates to application

GoProof may from time to time provide enhancements or improvements to the features/functionality of the Application, which may include patches, bug fixes, updates, upgrades and other modifications (“Updates”).

Updates may modify or delete certain features and/or functionalities of the Application. 

You agree that GoProof has no obligation to

(i) provide any Updates, or

(ii) continue to provide or enable any particular features and/or functionalities of the Application to you.

You further agree that all Updates will be

(i) deemed to constitute an integral part of the Application, and

(ii) subject to the terms and conditions of this Agreement.

Features and bugs

We design our Services with care, based on our own experience and the experiences of customers who share their time and feedback. However, there is no such thing as a service that pleases everybody. We make no guarantees that our Services will meet your specific requirements or expectations.

We also test all of our features extensively before shipping them. As with any software, our Services inevitably have some bugs. We track the bugs reported to us and work through priority ones, especially any related to security or privacy. Not all reported bugs will get fixed and we don’t guarantee completely error-free Services.

Third-party services

The Application may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services (“Third-Party Services”).

You acknowledge and agree that GoProof shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. 

GoProof does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services.

Third-Party Services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties’ terms and conditions.

Cancellation 

You are solely responsible for properly cancelling your account. Within each of our Services. If you need help cancelling your account, you can always contact our Support team. All of your content will be inaccessible from the Services immediately upon account cancellation. Within 30 days, all content will be permanently deleted from active systems and logs. Within 60 days, all content will be permanently deleted from our backups. We cannot recover this information once it has been permanently deleted. If you cancel the Service before the end of your current paid up month, your cancellation will take effect at the end of the billing cycle and you will not be charged again.

Termination

We have the right to suspend or terminate your account and refuse any and all current or future use of our Services for any reason at any time. Suspension means you and any other users on your account will not be able to access the account or any content in the account. Termination will furthermore result in the deletion of your account or your access to your account, and the forfeiture and relinquishment of all content in your account. We also reserve the right to refuse the use of the Services to anyone for any reason at any time. We have this clause because statistically speaking, out of the hundreds of thousands of accounts on our Services, there is at least one doing something nefarious. There are some things we staunchly stand against and this clause is how we exercise that stance. 

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Indemnification

You agree to defend, indemnify and hold harmless GoProof and its licencee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of

a) your use and access of the Service, by you or any person using your account and password;

b) a breach of these Terms, or

c) Content posted on the Service.

Limitation of liability

In no event shall GoProof, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from

(i) your access to or use of or inability to access or use the Service;

(ii) any conduct or content of any third party on the Service;

(iii) any content obtained from the Service; and

(iv) unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

GoProof, its subsidiaries, affiliates, and its licensors do not warrant that

a) the Service will function uninterrupted, secure or available at any particular time or location;

b) any errors or defects will be corrected;

c) the Service is free of viruses or other harmful components; or

d) the results of using the Service will meet your requirements.

Exclusions

Without limiting the generality of the foregoing and notwithstanding any other provision of these terms, under no circumstances will GoProof ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from, connected with, or relating to your use of the Service, these Terms, the subject matter of these Terms, the termination of these Terms or otherwise, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including without limitation gross negligence and fundamental breach) by GoProof or any person for whom GoProof is responsible, and even if GoProof has been advised of the possibility of such loss or damage being incurred.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the service.

Governing law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Entire Agreement

The Agreement constitutes the entire agreement between you and GoProof regarding your use of the Application and supersedes all prior and contemporaneous written or oral agreements between you and GoProof.

You may be subject to additional terms and conditions that apply when you use or purchase other GoProof’s services, which GoProof will provide to you at the time of such use or purchase.
